Terms of Service

Last updated: October 24, 2026

1. Acceptance of Terms

By accessing or using Timshal ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.

If you are accessing or using the Service on behalf of a company, organization, or other entity, you represent and warrant that you have the authority to bind that entity to these terms, and "you" refers to both you individually and that entity.

2. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE SPECIFICALLY DISCLAIM ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, INCLUDING ANY WARRANTY THAT THE SERVICE, OR ITS APPEARANCE, DESIGN, OR "LOOK AND FEEL," DOES NOT INFRINGE ANY PATENT, COPYRIGHT, TRADEMARK, TRADE SECRET, OR OTHER INTELLECTUAL PROPERTY RIGHT OF ANY THIRD PARTY. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.

3. Accuracy of Results

Timshal is a financial planning and analysis tool. While we strive for accuracy, we do not guarantee that calculations, formulas, aggregations, or any output produced by the Service will be correct, complete, or suitable for any particular purpose. You are solely responsible for verifying all results and should not rely on the Service as your sole source of financial data or analysis. Any decisions made based on output from the Service are made at your own risk.

4. Feature Availability

References to features, capabilities, or integrations in the Service, our marketing materials, or our documentation — including anything described as planned, upcoming, or in development — are not commitments. Any such feature may be delayed, changed, or never released, and existing features may be modified or discontinued at any time without notice. We are not liable for the absence, incompleteness, or discontinuation of any feature, regardless of how it was described.

5. Data

While we take reasonable measures to protect your data, we are not responsible for any loss, corruption, or unauthorized access to your data. We do not guarantee that data will be recoverable in the event of a system failure, error, or service termination.

6. Usage Data

We collect information about how you use the Service — such as which features you interact with, session activity, and error/performance diagnostics — to debug issues and improve the product. See our Privacy Policy for details on what is collected and how it is used.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL TIMSHAL, ITS OWNERS, OPERATORS, EMPLOYEES, AGENTS, SUBSIDIARIES, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, OR ANY CLAIM ARISING FROM ALLEGED INFRINGEMENT OF PATENT, COPYRIGHT, TRADEMARK, TRADE SECRET, OR OTHER INTELLECTUAL PROPERTY RIGHTS — ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF THE CAUSE OF ACTION OR THE THEORY OF LIABILITY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE, WHETHER IN CONTRACT, TORT, OR OTHERWISE, SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. THIS LIMIT APPLIES TO ANY AWARD IN ARBITRATION UNDER SECTION 13 BELOW, INCLUDING ALL DAMAGES, FEES, AND COSTS.

8. Subscription, Fees, and Billing

Paid plans are billed in advance on a recurring monthly basis to the payment method on file. We may change our fees at any time; for existing subscribers, we will provide at least 30 days' notice by email or in-app notification before a price change takes effect. If a payment fails, we may suspend your access to the Service until payment is successfully processed.

9. Auto-Renewal

Your subscription automatically renews at the end of each billing period unless you cancel before the renewal date. Upon renewal, you will be charged the then-current fee for your plan to the payment method on file.

10. Cancellation

You may cancel your subscription at any time from your account settings or by contacting us. Cancellation takes effect at the end of your current billing period, and you will retain access to the Service through that date. We may retain your data for up to 30 days after cancellation to allow you to reactivate your account, after which it may be permanently deleted.

11. Refunds

All fees are non-refundable except as required by applicable law. If you cancel, you will not receive a refund or credit for any unused portion of your current billing period.

12. Third-Party Integrations

The Service may integrate with third-party services such as QuickBooks, Google Sheets, BigQuery, and Fishbowl. We are not responsible for the availability, accuracy, or security of any third-party service. Your use of third-party integrations is subject to the respective third party's terms of service.

13. Dispute Resolution; Arbitration Agreement

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

These terms are governed by the laws of the State of Oregon, without regard to its conflict-of-laws principles.

Any dispute, claim, or controversy arising out of or relating to these terms or your use of the Service shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, conducted in Portland, Oregon (or, at either party's election, by written submissions or telephonically for claims under $10,000). Judgment on the arbitration award may be entered in any court of competent jurisdiction.

You and Timshal each agree to bring claims only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative proceeding. The arbitrator may not consolidate more than one party's claims.

Either party may instead bring a qualifying individual claim in small claims court in lieu of arbitration.

This arbitration agreement is mutual: it applies equally to claims brought by you and to claims brought by us.

14. Entire Agreement

These terms, together with our Privacy Policy, constitute the entire agreement between you (or, where applicable, your employer or the entity you represent) and Timshal, its owners, employees, and subsidiaries, regarding the Service, and supersede any other prior or contemporaneous agreements, communications, or proposals between the parties, whether oral or written.

15. Changes to Terms

We reserve the right to modify these terms at any time. Continued use of the Service after changes are posted constitutes acceptance of the modified terms.

16. Contact
